Terms and Conditions

Purpose

This document sets out the legal terms and conditions (the “Terms”) governing the commercial relationship between Prophero Global, S.L. (“PropHero” or “we”) and you, in relation to the Refer a Friend program (the “Program”) that PropHero makes available in order to promote our goods and services in exchange for a bonus, subject to these Terms.

Scope of the Terms and the Program

These Terms apply exclusively to the Program.

The Program will be available for a limited period only. PropHero reserves the right to terminate the Program at any time, without prejudice to rights and obligations accrued prior to such termination.

The Program may not be combined with any other promotional offer, unless expressly stated otherwise by PropHero in writing.

The Program applies exclusively in Spain.

By sharing your unique referral link (the “Referral Link”) with your network, you agree to all of these Terms.

Requirements

If you meet all of the following requirements (the “Requirements”), you will be eligible to participate in the Program and entitled to receive a cash payment of 500€ (the “Referral Bonus”):

  • A person referred by you (the “Referred Client”) has contracted PropHero’s services and has paid the settlement fee.

  • The Referred Client was not already registered on our platform or an existing client prior to being referred by you.

  • The Referred Client, upon contracting our services and registering on our platform, has used the Referral Link you shared with them. The Referral Link must be valid and usable.

  • The Referred Client has not been excluded from the Program by PropHero.

If any of the Requirements are not met (as determined by us), you will not be entitled to receive the Referral Bonus.

You are entitled to only one Referral Bonus per Referred Client, regardless of how many properties that Referred Client purchases with us. Furthermore, you are not entitled to a Referral Bonus if your Referred Client subsequently refers another person; however, your Referred Client may, in that case, be entitled to a Referral Bonus if they meet all the Requirements.

Any discounts to which a Referred Client may be entitled will be governed by the corresponding contract between us and that Referred Client. Nothing in these Terms grants a right for the Referred Client to claim discounts.

PropHero reserves the right, at its sole discretion, to exclude any Referred Client if we believe they do not meet the Requirements or, for any reason, are not a suitable client for PropHero.

For privacy reasons, you will not be informed whether your Referred Client meets the Program’s Requirements.

You may not refer yourself to become a Referred Client, for example, by using different email addresses or any other means.

The number of Referral Bonuses you can receive is limited to fifteen (15). Therefore, from the sixteenth Referred Client onward, you will not be entitled to the corresponding Referral Bonus.

Payment of the Referral Bonus

If all the Requirements are met and subject to these Terms, we will pay you the Referral Bonus by bank transfer to the account you provide, within 30 days after we have received payment of the fee to join the PropHero platform.

However, if you are a client of ours and have outstanding debts or pending payments owed to us, PropHero may offset those debts or pending payments against the Referral Bonus, instead of paying you the 500€.

The 500€ Referral Bonus includes any legally applicable taxes.

Modifications to the Program and Duration

The applicable Terms of the Program will be those available on our website at any given time.

PropHero reserves the right to modify, expand, or cancel this Program and its Terms at any time, at its sole discretion, without prejudice to rights and obligations accrued prior to such modification or cancellation.

This Program will commence on May 13, 2024, and will remain in force until it is removed. The Program shall be considered removed from the moment it is taken down from our website.

Any modification or expansion of the Program will take effect from the moment it is published on our website.

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any website failures, Referral Link errors, computer, server, or provider malfunctions, communications or facilities issues, any tax liability you may incur in relation to any Referral Bonus, or any loss or damage (whether direct, indirect, special, or consequential) caused in any way by participation in this Program.

It is prohibited and may constitute fraud to misuse the Referral Link in a way that is inconsistent with these Terms or with the intended purpose of the Program, including, without limitation, publishing, advertising, or selling the Referral Link, or engaging in any conduct intended to undermine the proper functioning of the Program.

If we become aware of or suspect that you are fraudulently using the Referral Link and/or have breached the Program’s Terms, you will not be entitled to receive any Referral Bonus, and if it has already been paid to you, you agree to reimburse us, without prejudice to any legal action PropHero may take against you.

Privacy

By accepting these Terms and participating in the Program, you agree that we may collect your personal information to provide the Program, and that PropHero may, for this purpose, collect, use, and disclose such information to third parties, including but not limited to agents, contractors, service providers, and, where necessary, regulatory authorities.

You can consult our Privacy Policy to learn how PropHero collects, stores, uses, and discloses your personal information, including details about international disclosure, access, correction, and how you may lodge a privacy-related complaint.

Governing Law and Jurisdiction

These Terms are governed by Spanish law.

Nothing in these Terms limits, excludes, or modifies, or is intended to limit, exclude, or modify, any rule or law that cannot be legally excluded or limited, including consumer legal guarantees provided under Royal Legislative Decree 1/2007, of November 16, which approves the consolidated text of the General Law for the Protection of Consumers and Users and other complementary laws.

In the event of a dispute with users (referrers) operating outside the scope of their professional or business activity, both parties agree to submit, waiving any other jurisdiction that may apply, to the courts of the user’s domicile.
